1. Who we are

Navrio ("the Service", "we", "us") is operated by Mayank Kumar Pathak ("Seller"), an individual sole proprietor based in India. By accessing or using the Service, you ("User", "you") enter into a binding agreement with the Seller.

2. Acceptance

By creating an account or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service. You confirm you are of legal age and, where acting on behalf of an organization, that you have authority to bind it.

3. The Service

Navrio is an all-in-one workspace providing CRM, projects, invoicing, document storage, AI assistants, automations, and analytics. Features may evolve over time.

Navrio includes generative AI features. You agree not to use AI features to generate illegal content, deepfakes, hate speech, malware, or content that infringes the rights of others. You are responsible for your prompts, how you use outputs, verifying accuracy, and ensuring you have rights to any content you input. AI outputs may be inaccurate and are not a substitute for professional, legal, financial, or medical advice. We may filter, restrict, or remove outputs, and suspend accounts that violate these rules. Repeated infringement may result in termination. To report infringement, contact support.

6. Account and content

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it updated. You retain ownership of content you upload; you grant us a limited license to host and process it solely to provide the Service.

7. Intellectual property

The Service, including its software, design, documentation, and branding, is owned by the Seller. You receive a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You may not reverse engineer, resell, redistribute, or circumvent technical limits.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

9. Service availability

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; you may request export of your data within 30 days, after which it may be deleted.

11. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid in the prior 12 months. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.

12. Indemnity

You agree to indemnify the Seller against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts located in India.

14. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or by email.
